In these Terms and Conditions "teachers dozen, Tank12, 12b Inspire, Pixel Light, we, our and us" refers to Twelvebaskets Ltd. "purchased" refers to chargeable downloadable items "content, contributions, materials, items," refers to products on the Website, and "the Website" refers to www.twelvebaskets.co.uk and its affiliates.
Website Terms And Conditions
Twelvebaskets Ltd provides access to the Website and sells products and services to you subject to the conditions set out on this page.
By taking out a subscription or by purchasing downloadable or physical products from the website you signify your acceptance and agreement to be bound by these conditions and those contained in the Website's information pages and privacy policy.
In addition, when you use any current or future Twelvebaskets service you will also be subject to the guidelines and conditions applicable to that service and forms a legal contract between you and Twelvebaskets Ltd.
Acceptance of our terms means you...
- will not use the website in a way that may impair the performance, corrupt the content or otherwise reduce the overall functionality of the Website.
- will not compromise the security of the Website or attempt to gain access to secured areas or sensitive information.

Modification

We advise users to regularly check the Terms and Conditions of this agreement as your continued subscription or purchase of items on the Website after any such changes are posted will constitute your acceptance of these changes.
Twelvebaskets have complete discretion to modify or remove any part of this site without warning or liability arising from such action.
The Website And Contributing Content
By submitting products on to the Website you are declaring that they are of your own work or you have obtained copyright permission and that you have read and agree with the Terms and Conditions of the website.
By uploading content to the site you agree that Twelvebaskets Ltd may have non-exclusive rights to use the content in another product. If the uploaded contribution is used without forming part of a composition (i.e. used as is), then the created product will appear under a new twelvebaskets/contributor(s) name account whereby the contributor(s) royalties will be credited. If the uploaded contribution is not used 'as is' or does not represent 25% of a final product then the new product will appear under the Twelvebaskets name with accreditation only to the original contributor. This term of condition and non-exclusive right is only available and permissible by Twelvebaskets Ltd.
Use of Bible Text and CopyrightTwelvebaskets have secured permission from Bible Gateway that NIV Bible text may be quoted in any form (written, visual, electronic or audio), up to and inclusive of two hundred fifty (250) verses, providing the verses do not amount to a complete book of the Bible nor do the verses quoted account for twenty-five (25) percent or more of the total text of the work in which they are quoted. When the text is quoted in accordance with these requirements, notice of copyright must appear on the title or copyright page or opening screen of the work.

Prices
All prices shown are in the currency of £ GBP (British pounds sterling) and are inclusive of VAT where applicable. Our postage and packaging prices are not subject to VAT.
Payment For Goods
All Products purchased through www.twelvebaskets.co.uk are to be paid in full at time of ordering. For further details see information pages included on the website.
Schools, Diocese and Local Authoritys can be invoiced for goods purchased ONLY by going to www.teachersdozen.co.uk. (a teacher's dozen is part of Twelvebaskets Ltd)
Refunds & Exchanges
In the unfortunate event of an item (purchased) being damaged or faulty please return the product immediately in appropriate packaging to keep the product safe from further damage. If we find that the fault or damage has been caused during production or original delivery the product will be replaced free of charge.
Returns
Twelvebaskets Ltd will refund or exchange an item if it is returned to us within 14 days along with a copy of the invoice or receipt. The returned item should be in good condition.
- Return your item(s) back to us using either the original or suitable packaging. Postage must be paid.
- It is advisable in all cases of return to obtain proof of posting or use registered post, postage incurred by returning the item(s) to us will not be refunded unless the item(s) are faulty.
If a refund is required the customer may still be charged the original postage amount. Exchanges may incur extra postage charges to allow for two parcels to be sent.
If the return is due to a Twelvebaskets error, the customer will be offered a full refund or the correct product will be sent the customer by first class post at no extra charge.
Customers should keep a proof of postage for all items returned to Twelvebaskets so that claims can be made to Royal Mail should the parcel be lost in transit.
Lost In Transit
From Twelvebaskets to customer - If a parcel sent by Twelvebaskets goes missing, once we are notified Twelvebaskets will arrange for a duplicate package to be sent to the customer by first class mail.
From customer to Twelvebaskets - If a parcel being returned by the customer goes missing it is the customer's responsibility to claim the cost of the goods and postage from Royal Mail.
Limitation Of Liability
Twelvebaskets Ltd takes steps to prevent computer viruses from being transmitted via electronic data transfer, but cannot guarantee that our website, e-mails or linked websites do not contain computer virus code. You are therefore strongly advised to undertake anti virus checks.
Twelvebaskets Ltd will under no circumstance be liable for indirect, special, or consequential damages including any loss of business, revenue, profits, or data in relation to your use of the Website.
Twelvebaskets Ltd reserve the right to delay or cancel your order at anytime due to manufacturing difficulties, or circumstances outside of our control and will endeavour to keep you informed at all times.
Twelvebaskets Ltd does not accept any liability under copyright law for items uploaded to the site by its members or via data storage devices supplied by them. Royalties
Royalties are accrued by a contributor when a subscriber downloads the Content for the first time only.
Calculating Royalties - Downloadable Products
Royalties are accrued differently depending on whether Content has been purchased (movies, PowerPoints, MP3s) or downloaded as part of user's subscription (images, written or hymn words). Unless otherwise agreed with Twelvebaskets Ltd, payments are calculated as follows:
Purchased items: VAT is deducted from the selling price, the balance will be split between the contributor and Twelvebaskets Ltd on a 50/50 basis.
Joint Purchased Items - (twelvebaskets/contributors): VAT and any associated third party costs (i.e. printers, musicians, recording etc) is deducted, the balance will be split between the contributor(s) and Twelvebaskets Ltd upon negotiation. All of these items with be available to any site visitor on a buy now basis.
Subscription Items:
Although any visitor to the site will be able to search and view thumbnails of all of the images and written pieces, only subscribers will be able to download and use them.
When a new subscriber joins the Website, 1/3 of their annual subscription fee (excl. VAT) is divided between the next 4 quarters contributor's royalty holding fund.
At the end of each trading quarter, all the money in that quarter's fund will be divided by the number of downloads in that trading period and split between the contributors who have had work downloaded in that quarter (One download equals one share of that quarter's royalty holding fund).
Only one download per file, per subscriber will be counted.
Fair use
Whilst the content of the Image, Written and Hymn sections are fully available to subscribers, we do run a fair use policy and ask that you do not download excessive amounts. We expect normal usage to be around 25 downloads per week. We do understand that at certain times of the year a higher volume might be required. However continued excessive use will result in the termination of a subscription without a refund being given.
